By accessing or using the Service, creating an account, purchasing a subscription or dataset, or downloading any Content, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old, are legally capable of entering into binding agreements, and are not barred from using the Service under any applicable law. You are responsible for ensuring that your use of the Service complies with all laws and regulations applicable to you, including but not limited to laws governing prediction markets, gambling, and securities in your jurisdiction.
The Service provides statistical probability estimates for informational and educational purposes only. Nothing provided by ZenHodl constitutes:
You are solely responsible for your own trading and investment decisions. Past performance, including backtested results, does not guarantee future results. Prediction market trading involves substantial risk of loss. You should not trade with money you cannot afford to lose.
ZenHodl does not operate a prediction market, exchange, or betting platform. We do not execute trades, hold funds, or act as a broker or intermediary.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised, are being shared, or are being used in violation of these Terms.
You agree not to:
All Content, including but not limited to probability models, Elo rating systems, training datasets, edge signals, course materials, documentation, website design, and software, is the proprietary intellectual property of ZenHodl, protected by copyright, trade secret, and other intellectual property laws.
License Grant. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content solely for your own personal or internal business purposes.
Restrictions. This license does not permit you to: resell or redistribute Content; share Content with third parties; publish raw Content in public or semi-public forums, repositories, or platforms; use Content to build or operate a competing product or service; or transfer your license to another person or entity.
Digital Fingerprinting. Downloaded files contain embedded digital identifiers (your email address, a unique download token, and timestamp) that tie the file to your account. These identifiers enable us to trace any leaked or redistributed Content to its source. Removal or alteration of these identifiers constitutes a material breach of these Terms.
Enforcement. Unauthorized redistribution, resale, or sharing of Content constitutes a material breach of these Terms and copyright infringement. We reserve the right to: (a) immediately terminate your account and revoke all access; (b) pursue statutory damages under the Digital Millennium Copyright Act (DMCA) and other applicable copyright laws (up to $150,000 per work infringed under 17 U.S.C. § 504(c)); (c) seek injunctive relief; and (d) recover reasonable attorney's fees and costs of litigation.

Billing. Paid subscriptions are billed monthly in advance via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
Free Trial. New subscriptions may include a 7-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan.
Cancellation. You may cancel your subscription at any time through your account page or the Stripe customer portal. Cancellation takes effect at the end of your current billing period. You will retain access until the period expires. No partial-month refunds are issued for cancellations.
Price Changes. We may change subscription prices with 30 days' written notice to your registered email. Continued use after a price change constitutes acceptance of the new price.
One-Time Purchases. Dataset and course purchases are one-time transactions. Due to the digital nature of these products, all sales of digital products are final. Refunds for one-time purchases are granted only in cases of verifiable technical defect (e.g., corrupted files) and at our sole discretion.
Failed Payments. If a payment fails, we will attempt to process the charge up to 3 times over 7 days. If all attempts fail, your subscription will be suspended until payment is resolved.
We strive to maintain high availability but do not guarantee uninterrupted, error-free, or secure operation of the Service. The Service depends on third-party data sources (including ESPN, league APIs, and Polymarket) that may experience outages, rate limits, or changes beyond our control. We are not liable for service interruptions caused by third-party dependencies, scheduled maintenance, force majeure events, or circumstances beyond our reasonable control.
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, OR QUIET ENJOYMENT. ZENHODL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZENHODL, ITS OPERATORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY TRADING OR INVESTMENT DECISIONS MADE BASED ON CONTENT PROVIDED BY THE SERVICE; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO ZENHODL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless ZenHodl, its operators, affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your trading or investment activities; or (e) any content you submit through the Service.
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, suspected fraud, extended non-payment, or conduct that we reasonably determine is harmful to other users or the Service.
Upon termination: (a) your license to use the Service and Content immediately ceases; (b) you must destroy all copies of Content in your possession; (c) any outstanding payment obligations remain due. Sections 4, 7, 10, 11, 12, 14, 15, and 16 survive termination.
Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, or remotely at the arbitrator's discretion. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. YOU AND ZENHODL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims.
Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of that court.
Entire Agreement. These Terms, together with the Privacy Policy and Data License, constitute the entire agreement between you and ZenHodl regarding the Service and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights without restriction.
Force Majeure. ZenHodl shall not be liable for any failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, internet outages, third-party service failures, or acts of God.
Notices. We may provide notices to you via email to the address associated with your account, via the dashboard, or by posting on the Service. You may provide notices to us at admin@zenhodl.net.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by: (a) updating the "Last updated" date at the top of this page; (b) emailing active subscribers at least 14 days before material changes take effect; or (c) displaying a prominent notice on the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.
If you believe any Content on the Service infringes your copyright, please send a DMCA takedown notice to admin@zenhodl.net with: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material; (c) your contact information; (d) a statement of good faith belief; and (e) a statement under penalty of perjury that the information is accurate.
